These Terms of Service ("Terms") form a contract between you ("Customer," "you," or "your") and SITANET GLOBAL ORBIT ("we," "us," or "our"), the provider of the FinanceFlex platform, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
1. Your Account
1.1 Eligibility
Accounts must be registered by a human being. Registrations by "bots" or automated methods are strictly prohibited. You must be at least 18 years old to use our Services.
1.2 Registration Information
During registration, you must provide:
- A valid, permanent email address
- An active phone number
- Your Bank Verification Number (BVN) (for Nigerian users) or National Identification Number (NIN) (for foreign users)
- Any additional information requested by our compliance team for KYC purposes
Each individual or company may only maintain one (1) account.
1.3 Restrictions
You agree not to use the Services for any unlawful, unauthorized, or improper purpose. You must comply with all applicable local, national, and international laws and regulations, including but not limited to telecommunications, internet, data protection, telemarketing, "spam," and import/export laws. You specifically agree not to:
- Infringe upon the intellectual property, privacy, or publicity rights of others
- Disseminate content that is obscene, offensive, defamatory, fraudulent, abusive, hateful, harassing, or otherwise objectionable
- Misrepresent your identity or impersonate another individual
- Distribute material that could expose SITANET GLOBAL ORBIT or third parties to legal liability
2. Payment and Subscription
2.1 Payment Methods
A valid credit card is required for automated recurring payments. Payments may also be made via wallet, bank transfer, or any other payment method enabled from time to time.
3. Disputes, Refunds, Upgrading, and Downgrading
In case a transaction fails and the recipient does not receive funds (not due to internal errors or network failures), please report the issue using your transaction reference ID after 24 hours. Resolution efforts will be made by the close of business; otherwise, the amount will be refunded to your account.
4. Inward Payment Refunds
If a received payment is flagged by the source bank as fraudulent or illegitimate, SITANET GLOBAL ORBIT reserves the right to hold the funds pending internal investigation. If the investigation confirms the claim, the funds will be reversed or refunded to the originating party.
5. Subscription Refund Policy
- A free trial period of three (3) working days (72 hours) is provided for new businesses to test FinanceFlex.
- If the solution meets the business needs and the customer proceeds to onboarding, a one-time onboarding fee and subscription payment are required.
- Onboarding fees are non-refundable due to third-party service involvement.
- Subscriptions may be refundable subject to a review, provided the refund request is made within three (3) working days of activation.
6. Refundable and Non-Refundable Circumstances
Refundable if:
- The platform is not as described
- The platform does not function as shown in demos or videos
- The platform was never activated
Non-Refundable if:
- You no longer want the platform after activation
- You changed your mind
- You mistakenly paid and activated your account
- You lack sufficient expertise to use the platform
- You did not receive timely support
- Platform accessibility issues are due to your device or network, not our service
7. Terms and Termination
- Customers may renew for an additional term (monthly or yearly) by providing notice at least five (5) days before expiration.
- Failure to renew will result in the suspension of services (B2B/B2C access). However, your data will remain safely stored and retrievable upon renewal.
8. Security Breaches
Internal Breach
You are responsible for breaches caused by your employees, contractors, or agents. You must immediately notify us and take corrective action. We reserve the right to suspend access to mitigate harm.
External Breach
In the event of a breach caused by external actors, we will take remedial actions in compliance with applicable laws, inform you about the breach, actions taken, and estimated resolution timelines.
9. Data Protection
- Both parties agree to strictly comply with all applicable data protection laws, including the Nigeria Data Protection Regulation (NDPR).
- You grant SITANET GLOBAL ORBIT permission to collect and validate your personal information (e.g., Full Name, Date of Birth, ID Number, Photo, Address, Phone Number, Gender) through authorized third-party providers.
- This data may be processed or stored outside Nigeria.
10. Amendments
- We may update these Terms to reflect legal, regulatory, or operational changes.
- Updates will be posted on our website and will become effective immediately upon posting.
11. Warranties, Disclaimers, and Remedies
- We warrant that support services will be delivered professionally and consistent with industry standards.
- We do not guarantee error-free or uninterrupted performance.
- Your sole remedy for service deficiencies includes re-performance of deficient services or a pro-rated refund.
12. Abuse and Misuse of Support
- Abuse of our support systems—including spam, duplicate requests, offensive content—is prohibited.
- We reserve the right to suspend or terminate access to support services for such abuses.
13. Miscellaneous
Confidentiality
Parties must maintain confidentiality over terms, conditions, and fee details unless disclosure is legally required.
Binding Agreement
This agreement binds and benefits both parties and their successors and legal representatives.
Language
This agreement is in English. The English version prevails over any translations.
Notices
All notices must be delivered in person, by email, or courier service to SITANET GLOBAL ORBIT.
14. Publicity
You agree that SITANET GLOBAL ORBIT may identify your business as a client on our website or marketing materials, using your business name and logo.
